Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at https://propbotusa.com/ and any related products, subscriptions, lead deliveries, communications, and services provided by PropBot LLC ("PropBot," "we," "our," or "us").

By accessing or using our website or services, creating an account, starting a free trial, or purchasing a subscription, you agree to be bound by these Terms. If you do not agree, do not use the services.

Eligibility

You must be at least 18 years old to use the services. By using the services, you represent and warrant that:

  • you are at least 18 years old;
  • you have the authority to enter into these Terms;
  • you will use the services only for lawful business purposes; and
  • all information you provide to us is accurate and current.

Services

PropBot provides subscription-based delivery of pre-foreclosure lead data by county. Depending on the subscription selected, customers may receive individual county deliveries, custom county coverage, or county bundles. Lead data is typically delivered by email in CSV format to the email address associated with the customer's account.

For purposes of these Terms, "same day" means within 24 hours, and not necessarily within the same calendar day.

Lead volume varies based on the number of notices published by the county or counties selected. PropBot does not control county posting volume. If a selected county publishes no relevant notices during a given period, you may receive no leads or a notification reflecting that no applicable notices were posted.

Accounts

You may be required to create an account to access or manage your subscription.

You are responsible for:

  • maintaining accurate account information;
  • maintaining an active, accurate, and monitored destination email address for lead delivery;
  • all activity that occurs under your account; and
  • any use of the services by your employees, team members, or others accessing the services through your account.

You may share access only within your own business or internal team. You may not provide access to third parties, clients, unrelated businesses, or outside organizations.

We may suspend, restrict, or terminate accounts at any time for fraud, abuse, unlawful use, payment failure, chargebacks, suspected misuse, or any violation of these Terms.

We reserve the right to refuse service to anyone at our discretion.

Free Trial

We may offer a 7-day free trial for eligible new users. A valid payment method is required to begin the free trial.

The free trial includes limited lead delivery, generally about 50% of normal lead volume, as determined by PropBot.

Unless canceled before the end of the trial period, the free trial will automatically convert into a paid monthly subscription for the selected service.

If you choose to end the free trial early in order to begin receiving full lead volume, billing begins immediately at that time and your paid subscription will start right away.

If you cancel before the end of the trial period, your access and service will stop and you will not be charged for the first paid billing cycle.

Subscription, Billing, and Renewal

Subscriptions are billed monthly in advance and automatically renew unless canceled before renewal.

Pricing varies depending on the county, custom county configuration, or county bundle selected. Current pricing is shown on our website, checkout page, order form, or subscription portal. We may change pricing from time to time by providing at least 30 days' notice.

By subscribing, you authorize PropBot and its payment processors to charge your payment method for all applicable fees, taxes, and recurring subscription charges.

If a payment fails:

  • service may be suspended immediately;
  • we may retry the payment once; and
  • access may remain suspended until payment is successfully processed.

If a chargeback occurs, we may contact you to attempt resolution. If the issue is not resolved, we may dispute the chargeback and suspend or terminate your account.

Cancellation

You may cancel your subscription at any time through your login portal on our website.

If you cancel:

  • the cancellation will take effect at the end of the current billing period;
  • your subscription will not renew for the next billing period; and
  • you will continue receiving service through the end of the billing period unless otherwise suspended or terminated under these Terms.

No prorated refunds are provided for partial billing periods.

You may resume service later by reactivating or purchasing a new subscription, subject to then-current pricing and availability.

Refunds

Except where required by law, fees are generally non-refundable.

However, PropBot may issue a refund if PropBot determines that a billing error, service error, or similar mistake occurred. Any such refund is at PropBot's discretion.

No Guarantees

The services are dependent on third-party data sources, public notices, county publication practices, email delivery systems, and other factors outside our control.

We do not guarantee:

  • any minimum number of leads;
  • any particular county volume;
  • the accuracy, completeness, timeliness, or currentness of any lead data;
  • the accuracy of skip-traced phone numbers, email addresses, mailing addresses, or other contact data;
  • contact rates, conversion rates, appointments, contracts, closings, deals, profits, or return on investment;
  • uninterrupted availability of the services; or
  • that any lead data is unique, exclusive, or unavailable from other sources.

All services and data are provided as is and as available.

Permitted Use

Subject to these Terms, PropBot grants you a limited, revocable, non-exclusive, non-transferable license to use the services and the lead data delivered to you for your internal business use.

You may retain and continue using lead files previously delivered to you even after cancellation of your subscription, subject to these Terms and applicable law.

Prohibited Use

You may not:

  • resell, sublicense, redistribute, or commercially repackage the lead data or CSV files;
  • provide the lead data to third parties, clients, outside organizations, or unrelated businesses;
  • use the services or lead data for unlawful purposes;
  • violate any applicable privacy, telemarketing, email, consumer protection, real estate, or marketing laws;
  • use the data in violation of do-not-call, consent, texting, calling, email, or solicitation requirements;
  • scrape, copy, mirror, or reverse engineer the website, platform, systems, or deliveries;
  • use our deliveries to build or contribute to a competing database, competing service, or similar commercial product;
  • interfere with or disrupt the services; or
  • misrepresent your identity, affiliation, or authority.

Compliance Responsibility

You are solely responsible for how you use any data or services provided by PropBot.

You represent and warrant that your use of the services and any lead data will comply with all applicable laws, regulations, rules, and industry requirements, including those relating to:

  • calling and texting;
  • the Telephone Consumer Protection Act and similar laws;
  • do-not-call compliance;
  • email marketing;
  • privacy and data protection;
  • advertising and solicitation;
  • real estate and lending-related laws; and
  • any laws governing use of public records or third-party personal information.

PropBot is not responsible for your compliance obligations.

Lead Data Sources

Lead data may be derived from public notices, county postings, third-party data vendors, and third-party skip tracing providers.

PropBot does not independently verify all third-party data and is not liable for inaccuracies, omissions, stale data, delays, or failures caused by counties, vendors, skip tracing providers, email systems, or other third parties.

Intellectual Property

The website, platform, service structure, branding, logos, content, software, formatting, layouts, workflows, and related materials are owned by or licensed to PropBot and are protected by applicable intellectual property laws.

Except for the limited usage rights expressly granted in these Terms, no rights are granted to you.

Communications

By providing your contact information, you consent to receive transactional communications from us related to your account, trial, subscription, billing, support, and services, including by email and text message where permitted by law.

You may opt out of text messages by replying STOP. Transactional emails and service notices may still be sent as needed to administer your account and services.

We may record calls for support, quality assurance, training, operational, and documentation purposes where permitted by law.

Privacy

Your use of the services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

Suspension and Termination

We may suspend or terminate your access to the services immediately, with or without notice, if:

  • you violate these Terms;
  • your payment fails;
  • you initiate an improper chargeback;
  • we suspect fraud, misuse, abuse, or unlawful activity; or
  • we discontinue the service or a portion of it.

Upon termination, your right to access the services will end, but provisions that by their nature should survive will remain in effect, including provisions relating to payment obligations, indemnification, disclaimers, limitation of liability, dispute resolution, and retained-use restrictions.

Disclaimer of Warranties

To the maximum extent permitted by law, the services, website, lead data, CSV deliveries, and all related content are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

PropBot disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

Limitation of Liability

To the maximum extent permitted by law, PropBot LLC and its owners, officers, employees, contractors, agents, affiliates, vendors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, PropBot's total liability for any claim arising out of or relating to the services or these Terms will not exceed the total amount you paid to PropBot for the applicable service during the three (3) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless PropBot LLC and its owners, officers, employees, contractors, agents, affiliates, vendors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the services;
  • your use of lead data;
  • your violation of these Terms;
  • your violation of law or third-party rights; or
  • any calling, texting, emailing, solicitation, marketing, or outreach conducted by you or on your behalf.

Disputes; Texas Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Before filing a legal claim, the parties agree to first attempt to resolve the dispute informally. To begin that process, the complaining party must send written notice of the dispute to support@propbotusa.com. If the dispute is not resolved within 30 days after notice is sent, either party may file suit.

Any legal action arising out of or relating to these Terms or the services must be brought exclusively in the state or federal courts located in Texas, and each party consents to the personal jurisdiction and venue of those courts.

To the maximum extent permitted by law, each party waives any right to a jury trial.

To the maximum extent permitted by law, you agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any purported class or representative action.

Changes to Services

We may modify, update, suspend, discontinue, or remove any part of the services at any time, including features, delivery methods, counties, vendors, data sources, or pricing.

We are not liable for any such modification, suspension, or discontinuation.

Changes to These Terms

We may update these Terms from time to time. If we do, we will post the updated version on our website and update the "Last Updated" date above. Changes will become effective upon posting unless otherwise stated.

Your continued use of the services after updated Terms become effective constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, together with any applicable order form, checkout page, subscription page, and Privacy Policy, constitute the entire agreement between you and PropBot concerning the services and supersede any prior or contemporaneous understandings relating to the subject matter.

Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
